Terms of Service

These terms are an agreement between you and Junction. They cover how you may use Junction, the read-only service that reads your connected CRM and billing systems and returns a dollar figure on where the two disagree about money. Please read them carefully.

1. Acceptance of these terms

By creating an account, connecting a system, or otherwise using Junction (the “Service”), you agree to these Terms of Service. If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization, and “you” refers to that organization. If you do not agree to these terms, do not use the Service.

2. What Junction does

Junction connects to your customer relationship management (CRM) system, such as HubSpot, and your billing system, such as Stripe, using read-only access. It compares the two records and surfaces the accounts where they disagree about money, for example an account that is active in your CRM but canceled in billing, or a deal marked closed-won that was never invoiced. It reports those gaps to you as a dollar figure. Junction does not write to, modify, or delete anything in your connected systems.

The results Junction produces are informational. They are meant to help you find and review possible discrepancies, and they are not accounting, tax, financial, or legal advice. You are responsible for verifying any figure before you act on it.

3. Your account

You must provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity that happens under your account. Notify us promptly at hello@getjunction.io if you believe your account has been used without your authorization.

4. Connecting your systems

To use the Service you authorize Junction to access your connected CRM and billing systems on a read-only basis. When you connect a system, you represent that you own or are authorized to connect that account and to allow Junction to read the data in it. You can disconnect a system at any time from your account settings, which revokes Junction’s access going forward.

5. Acceptable use

You agree not to:

  • use the Service in violation of any applicable law or the rights of others;
  • connect a system you are not authorized to access, or misrepresent your authority to connect it;
  • attempt to gain unauthorized access to the Service, other customers’ data, or the systems and networks that run the Service;
  • probe, scan, overload, or disrupt the Service, or circumvent any usage limit or security control;
  • copy, resell, or make the Service available to a third party except as expressly permitted, or reverse engineer it other than as allowed by law.

6. Fees

Junction is offered to early customers and design partners. Where a plan carries a fee, the price, billing period, and payment terms will be presented to you before you subscribe, and your continued use after that point confirms your agreement to them. Unless stated otherwise, fees are exclusive of taxes, which are your responsibility.

7. Your data

As between you and Junction, you own the data read from your connected systems and the account information you provide (“Your Data”). You grant us a limited, non-exclusive license to access, process, and store Your Data solely to operate the Service, compute your results, support you, and keep the Service secure. Our handling of personal information is described in our Privacy Policy.

8. Our intellectual property

The Service, including its software, design, and content we create, belongs to Junction and is protected by intellectual property laws. These terms do not grant you any right in the Service other than the limited right to use it as described here. “Junction” and our logo are our marks and may not be used without our permission.

9. Third-party services

The Service connects to third-party systems such as HubSpot and Stripe and runs on third-party infrastructure. Your use of those systems is governed by the agreements between you and each provider, and we are not responsible for their availability, accuracy, or practices. If a provider changes or discontinues its access, some Service features may be affected.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error free, or that every discrepancy will be detected or that every figure reported will be accurate. You remain responsible for your own financial records and decisions.

11. Limitation of liability

To the fullest extent permitted by law, Junction and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred US dollars.

12. Indemnification

You agree to indemnify and hold Junction harmless from any claim or demand, including reasonable legal fees, arising out of your misuse of the Service, your violation of these terms, or your violation of any law or the rights of a third party, including any claim that you were not authorized to connect a system you connected.

13. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these terms, if your use poses a risk to the Service or others, or if we are required to do so by law. On termination, your right to use the Service ends, and we will handle any remaining data in line with our Privacy Policy.

14. Changes to the Service and these terms

We may update the Service and these terms from time to time. When we make a material change to these terms, we will update the “Last updated” date above and, where appropriate, give you additional notice. Your continued use of the Service after a change takes effect means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The courts located in Delaware will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to their jurisdiction and venue.
